Service Agreement

This Service Agreement ("Agreement") is a binding contract between you (the veterinary professional or practice using the service, "you") and Olee AI LLC ("we", "us"), the operator of VetAI Docs ("VetAI") at vetai.cc. By ticking the acceptance box at sign-up, or by creating or using an account, you agree to this Agreement together with our Terms of Service, Privacy Policy, Acceptable Use Policy and Refund Policy, each incorporated by reference. If you do not agree, do not use VetAI.
The service and licence
VetAI is an AI clinical-scribe tool that turns a recorded veterinary consultation into draft records. We grant you a limited, non-exclusive, non-transferable, revocable licence to use VetAI for your internal professional use, subject to this Agreement. You may not resell, sublicense, reverse engineer, scrape, or build a competing product from the service.
Drafts only; your professional responsibility
VetAI produces DRAFTS to assist you. It is not a medical device and does not provide veterinary advice, diagnosis or treatment decisions. As the licensed veterinarian (or authorised staff), you are solely responsible for reviewing, correcting and approving every note, dose and billing item before relying on it. AI output can be wrong or incomplete; you must verify it against the recording, a current formulary and your own clinical judgement. We are not liable for any clinical decision made using VetAI output.
AI processing and your content
To generate your outputs, your recordings and prompts are sent to Google's Gemini API. Under Google's paid-API terms, this data is processed only to produce your outputs and is not used to train Google's models. You retain ownership of your recordings and records; you grant us a limited licence to host and process them solely to provide the service to you. We own VetAI itself - the software, design and brand.
Confidentiality of your clinical data
Our staff and administrators can access account and billing metadata only (plan, usage minutes, AI cost, status). They cannot see your clinical content - note text, audio, transcripts, summaries or patient and owner details are not exposed to our admin tools. You act as the data controller for the clinical content and we act as your processor on your instructions.
Your obligations and warranties
You warrant that: you are a qualified veterinary professional or authorised member of a practice; your account information is accurate; you will use VetAI lawfully and in line with your professional and record-keeping obligations; and you have obtained any consent required to record a consultation and to inform clients. You are responsible for all activity under your account and for keeping your credentials secure.
Fees, renewal and price changes
Paid plans are billed in advance through Stripe and renew automatically until cancelled. You authorise recurring charges. Fees are exclusive of taxes, which you are responsible for where applicable. We may change prices; a change takes effect from your next billing cycle only, never mid-cycle, and we will notify you beforehand. Continuing to use VetAI after a change takes effect is acceptance of the new price. Refunds are governed by our Refund Policy.
How usage is counted
Your plan includes an allowance measured in minutes. Recording time is counted in whole minutes: any part-minute is rounded up to the next full minute, so even a single second of recording is counted as one full minute of your allowance.
Availability, warranty disclaimer
VetAI is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation. We use reasonable safeguards to protect your data but cannot guarantee absolute security.
Limitation of liability
To the maximum extent permitted by law, Olee AI LLC and its owners, officers and suppliers will not be liable for any indirect, incidental, special, consequential or exemplary damages, or for loss of data, profits, goodwill, revenue or business, arising out of or relating to VetAI, whether in contract, tort or otherwise, even if advised of the possibility. Our total aggregate liability for all claims is limited to the amount you paid us in the twelve months before the event giving rise to the claim, or USD 100 if greater cannot be shown. Some jurisdictions do not allow certain limitations; in that case the limitations apply to the fullest extent permitted.
Indemnity
You will defend, indemnify and hold harmless Olee AI LLC and its owners, officers, employees and suppliers from and against any claims, damages, liabilities, losses and costs (including reasonable legal fees) arising out of your use of VetAI, your clinical decisions, your content, your breach of this Agreement, or your violation of any law or third-party right.
Suspension and termination
You may stop using VetAI and delete your account at any time. We may suspend or terminate access, with or without notice, for breach of this Agreement, non-payment, misuse, or where required by law. On termination your licence ends; sections that by their nature should survive (fees owed, disclaimers, liability limits, indemnity, governing law) survive.
General
This Agreement, with the documents it incorporates, is the entire agreement between us and supersedes prior discussions. It is governed by the laws applicable to Olee AI LLC at its place of establishment, without regard to conflict-of-laws rules; you agree to the exclusive jurisdiction of the courts there. To the extent permitted by law, disputes are resolved individually and you waive any class or representative action. If any provision is unenforceable, the rest remains in effect. We may assign this Agreement; you may not without our consent. We are not liable for events beyond our reasonable control (force majeure). We may update this Agreement; material changes require your re-acceptance on next sign-in.
